General Terms
By accessing, browsing, registering an account, subscribing, downloading materials, or placing an order with UPCommodity, you confirm that you agree to and are bound by these Terms & Conditions (“Terms”). These Terms apply to (i) upcommodity.com and any UPCommodity subdomains (including marketintelligence.upcommodity.com), and (ii) any related services, applications, content, reports, newsletters, tools, or communications provided by UPCommodity (collectively, the “Service”).
Under no circumstances shall UPCommodity be liable for any direct, indirect, special, incidental, consequential or punitive damages, including without limitation loss of profits, revenue, data, goodwill, or business interruption, arising out of the use of (or inability to use) the Service, even if UPCommodity has been advised of the possibility of such damages. If your use of the Service results in the need for servicing, repair, or correction of equipment or data, you assume any costs thereof.
UPCommodity is not responsible for any outcome that may occur during the course of usage of our resources. We reserve the right to change pricing, content, features, and policies at any time, subject to any notice requirements in these Terms or applicable law.
License
UPCommodity grants you a revocable, non-exclusive, non-transferable, limited license to access and use the Service strictly in accordance with these Terms.
These Terms are a contract between you and UPCommodity (referred to in these Terms as “UPCommodity”, “we”, “us” or “our”), the provider of the Service. If you do not agree to these Terms, do not use the Service. In these Terms, “you” refers both to you as an individual and to any entity you represent. If you violate these Terms, we may suspend or terminate your access, including your account, without notice.
Definitions and key terms
To help explain things as clearly as possible, the following terms are defined as:
Account: a user profile created to access certain features of the Service, including content, reports, downloads, and premium resources.
Cookie: small data stored by your browser used to identify your browser, improve functionality, and provide analytics.
Company: when these Terms mention “Company,” “we,” “us,” or “our,” it refers to UPCOMMODITY LLC, 7280 NW 87th Terrace Suite C-210, Kansas City, MO 64153, United States.
Country: United States (and where applicable, the country from which you access the Service).
Device: any internet-connected device (phone, tablet, computer, etc.) used to access the Service.
Digital Content: reports, documents, datasets, newsletters, dashboards, downloads, and other non-physical content made available through the Service.
Paid Services / Subscription: premium features or resources available in exchange for a fee, billed one-time or recurring.
Service: the websites, subdomains, apps, tools (including AI features), and related content provided by UPCommodity.
Third-Party Services: third-party providers integrated with the Service (e.g., payment processors, analytics, email delivery, messaging providers) and/or linked external websites.
Website: UPCommodity’s sites accessible at https://upcommodity.com and any subdomain of upcommodity.com, including https://marketintelligence.upcommodity.com.
You: a person or entity using or registered with UPCommodity to use the Service.
Accounts and Access
Certain parts of the Service require an Account. You agree to provide accurate information, keep it up to date, and maintain the confidentiality of your login credentials. You are responsible for all activities that occur under your Account. If you believe your Account has been compromised, contact us immediately.
By creating an Account, you acknowledge that you have read and accepted these Terms and that you have read and acknowledged our Privacy Policy. You are also responsible for reviewing any notices or consent language presented during registration, checkout, subscription, or account preference selection.
We may suspend or terminate Accounts that violate these Terms, pose security risks, or involve suspected fraud or abuse.
Subscriptions, Billing, and Payments
Paid Services, including Premium Desk, may be offered on a one-time or recurring subscription basis. By purchasing a Paid Service, you authorize us (and our payment processor) to charge your selected payment method for the applicable fees, taxes, and any renewal fees.
Recurring monthly subscriptions: If you enroll in a monthly subscription, your subscription will automatically renew at each monthly billing interval unless canceled before the next renewal date. By subscribing, you authorize recurring charges to your selected payment method where available.
Cancellation: If you wish to end a recurring subscription, you must cancel before the next billing period to avoid future charges. Cancellation will stop future renewals only and, unless otherwise required by applicable law, will not entitle you to a refund for the current billing period already charged.
No refunds: Unless required by applicable law or expressly stated otherwise at checkout, payments for subscriptions and Paid Services are final and non-refundable once charged for the applicable billing period.
Failed or invalid payments: You are responsible for providing and maintaining a valid payment method and accurate billing information. We are not responsible for payment failures, declines, expired cards, insufficient funds, bank restrictions, processor interruptions, or errors resulting from inaccurate or incomplete payment information provided by you, except where required by applicable law. We may suspend or limit access to Paid Services if payment is not successfully completed or renewed.
Multiple or duplicate purchases: If multiple purchases, overlapping subscriptions, or duplicate transactions are submitted for the same or related account, we may accept, reject, review, consolidate, credit, or otherwise administer those transactions and the resulting service access at our discretion, except where applicable law requires otherwise.
Price changes: We may change prices for Paid Services. If a price change affects an active subscription, we will provide reasonable notice and any legally required options before the change takes effect.
Taxes: You are responsible for any applicable taxes, duties, or similar governmental assessments unless we are required to collect them.
Return and Refund Policy
Thanks for shopping at UPCommodity. We appreciate that you use the products and services we build. Because many of our offerings include immediate access to Digital Content, premium resources, subscription features, reports, and data services, all sales are final and non-refundable, except where required by applicable law or where explicitly stated otherwise at checkout.
Canceling a recurring subscription prevents future renewal charges only and does not retroactively reverse or refund charges already processed for the current billing period, unless required by applicable law.
If you experience technical issues that prevent access to a Paid Service, contact us and we will make reasonable efforts to resolve the issue or provide an alternative remedy, at our discretion and as permitted by law.
Newsletters and Communications
By creating an Account, subscribing, downloading content, purchasing a Paid Service, or providing your contact information, you may receive service-related messages, including account notices, receipts, payment confirmations, failed payment alerts, renewal reminders, security alerts, access notices, and other administrative communications necessary to operate the Service.
During account registration, subscription sign-up, content downloads, purchase flows, or through your communication preferences, you may also choose to receive additional communications from UPCommodity. These may include:
Marketing offers and updates regarding our services, premium access, promotions, and related opportunities;
One-to-one emails from our team members related to onboarding, support, account follow-up, service recommendations, or business outreach; and
Content notifications and updates, including weekly blog updates and instant, daily, weekly, or monthly notifications regarding new reports, market data, commentary, and related content.
These communications may be delivered through email and, where you have provided the relevant contact details and consented where required by law, through SMS, text message, WhatsApp, or similar communication channels.
Where required by applicable law, such communications will be sent only with your consent or according to your selected communication preferences. You may unsubscribe from or withdraw consent for marketing-type communications at any time using the unsubscribe link in the applicable message, replying with an opt-out instruction where available, updating your account preferences, or contacting us. Service-related messages may still be sent when necessary.
Downloads and Digital Content
Digital Content is licensed, not sold. Unless expressly stated otherwise, you may download and use Digital Content for your internal business purposes. You may not resell, redistribute, publish, publicly display, or create competing products using our Digital Content without our prior written permission.
AI Features and Outputs
Premium users may access features such as an AI assistant or other automated tools (“AI Features”). AI Features may generate outputs based on information you provide and/or content available through the Service. AI outputs may be inaccurate, incomplete, or outdated and are provided for informational purposes only. You are responsible for reviewing and verifying outputs before relying on them, especially for decisions involving financial, legal, safety, or compliance matters.
You agree not to use AI Features to violate law, infringe rights, or to submit unlawful, harmful, or confidential third-party information you are not authorized to share. We may limit, suspend, or disable AI Features to protect users, comply with law, or maintain service quality.
Restrictions
You agree not to, and you will not permit others to:
License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, scrape, or otherwise commercially exploit the Service or make it available to any third party, except as expressly permitted by these Terms.
Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Service.
Remove, alter, or obscure any proprietary notice (including copyright or trademark notices) of UPCommodity or its affiliates, partners, suppliers, or licensors.
Use the Service to upload or transmit malware, spam, or content that is unlawful, harmful, deceptive, or that infringes the rights of others.
Attempt to gain unauthorized access to systems, accounts, or data, or interfere with the security or performance of the Service.
Your Suggestions
Any feedback, comments, ideas, improvements or suggestions (collectively, “Suggestions”) provided by you to UPCommodity may be used by UPCommodity without restriction and without compensation to you.
Your Consent
By using the Service, registering an Account, subscribing, or making a purchase, you consent to these Terms and acknowledge that your personal information will be handled as described in our Privacy Policy.
If, during registration or through your account settings, you choose to subscribe to marketing offers and updates, one-to-one emails from our team members, or weekly blog post updates, you also agree that we may send those communications in accordance with your selections, these Terms, and our Privacy Policy.
If you subscribe to Premium Desk or any recurring Paid Service, you acknowledge and agree that the subscription may renew automatically at the applicable billing interval unless canceled before the next renewal date. You also acknowledge that, where you separately opt in or where otherwise permitted by law, we may send communications and notifications through email, SMS, WhatsApp, or similar channels in accordance with your communication preferences and our Privacy Policy.
Links to Other Websites
The Service may contain links to third-party websites not operated or controlled by UPCommodity. We are not responsible for the content, accuracy, or practices of such websites. Your browsing and interaction on any third-party website is subject to that website’s own rules and policies.
Cookies
UPCommodity uses cookies and similar technologies to improve functionality, provide analytics, and help secure the Service. Some features may not work properly if cookies are disabled. We do not intentionally place sensitive personal data in cookies.
Changes To Our Terms & Conditions
We may update these Terms from time to time. If changes are material, we will provide notice (for example, through the Service or by email) and update the “Updated at” date. By continuing to use the Service after changes become effective, you agree to the revised Terms. If you do not agree, you must stop using the Service and may delete your Account.
Modifications to Our Service
UPCommodity reserves the right to modify, suspend, or discontinue any part of the Service (including features, content, and availability) at any time, with or without notice, and without liability to you, except where prohibited by law.
Third-Party Services
We may display or integrate Third-Party Services. You acknowledge and agree that UPCommodity is not responsible for Third-Party Services, and your use of them may be subject to additional third-party terms and policies.
Term and Termination
These Terms remain in effect until terminated by you or UPCommodity. You may stop using the Service at any time. UPCommodity may suspend or terminate access (including your Account) at any time for any reason, including suspected fraud, security concerns, or violations of these Terms.
Upon termination, your right to use the Service will cease. We may delete or retain certain information as described in our Privacy Policy and as required by law.
Copyright Infringement Notice
If you believe any material on the Service infringes your copyright, contact us with: (a) your signature; (b) identification of the allegedly infringing material; (c) your contact information; (d) a statement of good faith belief; and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the owner.
Indemnification
You agree to indemnify and hold harmless UPCommodity and its affiliates, officers, employees, agents, partners and licensors from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, violation of these Terms, or violation of any third-party right.
No Warranties
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind. To the maximum extent permitted by law, UPCommodity disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
Limitation of Liability
To the maximum extent permitted by law, UPCommodity’s total liability under these Terms will not exceed the amounts you actually paid to UPCommodity for the Paid Services during the three (3) months preceding the event giving rise to the claim. In no event will UPCommodity be liable for any indirect, incidental, special, consequential, or punitive damages. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Severability
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Failure to enforce any provision of these Terms is not a waiver of the right to do so later.
Dispute Resolution & Arbitration
This section applies to any dispute except disputes relating to claims for injunctive or equitable relief regarding the enforcement or validity of intellectual property rights. In the event of a dispute, you or UPCommodity must provide a Notice of Dispute by email to: contact@upcommodity.com. The parties will attempt to resolve the dispute informally within sixty (60) days. If not resolved, the dispute will be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association.
Intellectual Property
The Service and its contents are owned by UPCommodity or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, reproduce, distribute, or create derivative works except as expressly permitted by these Terms.
Miscellaneous
These Terms, together with the Privacy Policy and any other legal notices published by UPCommodity on the Service, constitute the entire agreement between you and UPCommodity concerning the Service. UPCommodity operates and controls the Service from the United States. The Service is not intended for use where prohibited by law, and you are responsible for compliance with local laws.
